1. Introduction and Acceptance

NextMariner ApS ("NextMariner", "we", "us" or "our") operates the online platform available at nextmariner.com and related applications and services (the "Platform" or "Services"), connecting maritime professionals, shipping companies and maritime academies worldwide.

By creating an account, accessing or otherwise using the Platform, you ("you", "User") enter into a legally binding agreement with NextMariner (this "Agreement" or these "Terms"). If you are using the Platform on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, in which case "you" refers to that entity.

If you do not agree to these Terms, you must not create an account or otherwise access or use the Platform.

Your use of the Platform is also governed by our privacy policy, which explains how we collect, use, share and store your personal data, and by our cookie policy.

We may amend these Terms from time to time. If we make material changes, we will notify you, for example via the Platform or by e-mail, before the changes take effect. Your continued use of the Platform after the changes take effect constitutes your acceptance of the updated Terms. If you do not accept the changes, you must stop using the Platform and may close your account.

2. The Platform and User Categories

The Platform allows maritime professionals, shipping companies and maritime academies to, among other things, create profiles, build a professional network, publish and read reviews of companies, academies and ships, search and post job opportunities, record voyage history, and access other features we make available from time to time.

We may change, add to, limit the availability of, or discontinue any feature or part of the Platform at any time, including by making certain features subject to a paid subscription or by limiting availability to certain countries or user groups.

We do not guarantee that the Platform will be available at all times or that it will be uninterrupted or error-free.

3. Eligibility and Your Account

3.1 Eligibility

To use the Platform, you confirm that:

  1. you are at least 16 years old, or the higher minimum age required in your country of residence for us to lawfully offer you the Services without parental consent;
  2. you have not previously been barred from using the Platform by us; and
  3. all information you provide to us is true, accurate and complete, and you will keep it up to date.

3.2 Registration and Account Security

You may only maintain one personal account, and it must be registered in your real name. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at support@nextmariner.com if you become aware of any unauthorized use of your account.

Where a company or academy has created an account or paid for access on your behalf in connection with your employment or affiliation, that company or academy may be entitled to administer access to, and receive reports on, your use of such account, but it does not thereby acquire rights to your personal account.

4. Content on the Platform

4.1 Your Content and Licence to NextMariner

"Content" means any information you submit to the Platform, including profile information, reviews, ratings, comments, job postings, messages, photos, credentials and other documentation, and voyage records.

You retain ownership of your Content. By submitting Content to the Platform, you grant NextMariner a non-exclusive, worldwide, royalty-free, transferable and sublicensable licence to use, host, store, reproduce, modify, adapt, publish and display such Content for the purpose of operating, providing, promoting and improving the Platform. This licence ends when you delete the relevant Content or close your account, except to the extent (i) we are required by law to retain it, or (ii) it has already been shared or displayed to others in accordance with your settings, and to the extent reasonably necessary for removal from back-up systems.

You are solely responsible for your Content. You represent and warrant that you have all rights necessary to submit your Content, that it is accurate and not misleading, and that it does not infringe the rights of any third party or violate any applicable law, including intellectual property, defamation and data protection law.

4.2 Reviews and Ratings

The Platform enables Users to publish reviews and ratings of companies, academies and ships. Reviews must reflect your own genuine experience and opinion, must be truthful, and must not be defamatory, discriminatory, or submitted for payment, in exchange for a benefit, or on behalf of a competitor. We may remove or restrict access to reviews and other Content that we reasonably believe violate these Terms or applicable law, or that we consider necessary to remove in order to avoid harm to NextMariner or others.

4.3 Other Users' Content

Content and information made available on the Platform by other Users, including reviews, ratings and job postings, may be inaccurate, incomplete or outdated. We do not verify all Content submitted by Users, and your use of and reliance on such Content is at your own risk. We are not responsible for Content posted by Users.

5. Jobs, Companies and Academies

Where the Platform enables companies to post job opportunities, or connects you with companies, academies or other Users offering opportunities, products or services, NextMariner is not a party to, and is not responsible for the performance of, any resulting arrangement, employment relationship, training programme or transaction between Users. NextMariner does not make hiring, admission or employment decisions on behalf of any User, and does not act as an employment agency, crewing agent or recruiter unless expressly agreed in a separate written agreement.

6. Paid Services

Certain features of the Platform, including certain features intended for companies and academies, may be offered on a paid subscription or one-off payment basis ("Paid Services"). If you purchase Paid Services, you agree to pay all applicable fees and taxes, and to the specific terms presented to you at the time of purchase.

Unless otherwise stated at the point of purchase, subscriptions renew automatically for successive periods equal to the initial subscription period, and your payment method will be charged at the start of each renewal period, until you cancel. You may cancel a subscription at any time with effect from the end of the current subscription period by contacting us at support@nextmariner.com.

We may change our prices for Paid Services with reasonable prior notice, and any price change will take effect from your next renewal period. Fees already paid are as a general rule non-refundable, except where required by applicable law or expressly agreed by us.

7. Your Conduct on the Platform

You agree to use the Platform in a professional and lawful manner. When using the Platform, you agree that you will not:

  1. create a false identity, impersonate any person or entity, or create a profile for anyone other than yourself;
  2. use bots, scrapers, crawlers or other automated means to access, extract or copy data from the Platform, including profiles, reviews or job postings, without our prior written consent;
  3. circumvent or attempt to circumvent any security measures or access restrictions on the Platform;
  4. copy, distribute or publicly display Content obtained from the Platform, or otherwise use it, other than as permitted by these Terms;
  5. post or share any Content that is false, misleading, defamatory, discriminatory, harassing, obscene, or that infringes the intellectual property or other rights of any third party;
  6. upload viruses, malware or other harmful code, or otherwise interfere with or disrupt the operation of the Platform;
  7. reverse engineer, decompile or disassemble any part of the Platform;
  8. use the Platform for any unlawful, fraudulent or deceptive purpose; or
  9. rent, lease, sell, resell or otherwise commercially exploit the Platform or data obtained from it without our prior written consent.

We may investigate suspected violations of these Terms and take appropriate action, including removing Content, issuing warnings, and suspending or terminating accounts.

8. Intellectual Property Rights of NextMariner

NextMariner owns and retains all rights, title and interest in and to the Platform, including its software, design, trademarks, logos and all content provided by us (excluding User Content). Nothing in these Terms transfers any such rights to you. You may not use the name "NextMariner" or our logos other than as expressly permitted by us in writing.

9. Disclaimer and Limitation of Liability

9.1 Disclaimer

The Platform and all Content, information and features made available on it are provided on an "as is" and "as available" basis. To the extent permitted by applicable law, NextMariner disclaims all warranties, whether express or implied, including any implied warranty of merchantability, fitness for a particular purpose, accuracy or non-infringement. NextMariner does not warrant that the Platform will be uninterrupted, timely, secure or error-free.

9.2 Limitation of Liability

To the extent permitted by applicable law, NextMariner shall not be liable for any indirect, incidental, special or consequential loss or damage, including loss of profits, loss of business opportunities, loss of data or loss of reputation, arising out of or in connection with these Terms or your use of the Platform.

To the extent permitted by applicable law, NextMariner's aggregate liability towards you in connection with these Terms and your use of the Platform shall not exceed the total amount paid by you to NextMariner for the Paid Services giving rise to the claim during the twelve (12) months preceding the event giving rise to the claim, or DKK 1,000 if you have not paid any fees to NextMariner.

10. Termination

You may close your account at any time by contacting us at support@nextmariner.com or by using the account closure function on the Platform, if available.

We may suspend or terminate your account or your access to all or part of the Platform, with or without notice, if we reasonably believe that you have violated these Terms or applicable law, or if we discontinue the Platform or the relevant Services.

Upon termination, your right to access and use the Platform ceases. Provisions that by their nature should survive termination, including sections on intellectual property, disclaimer, limitation of liability, and governing law and disputes, will survive.

11. Governing Law and Disputes

These Terms, and any dispute or claim arising out of or in connection with them or your use of the Platform, are governed by Danish law, without regard to its conflict of law principles. This does not deprive you of any mandatory consumer protection you are entitled to under the law of the country in which you are resident, if such law provides greater protection.

Any dispute arising out of or in connection with these Terms that cannot be resolved amicably shall be subject to the exclusive jurisdiction of the Danish courts, with the courts of Odense, Denmark, as the venue of first instance, subject to any mandatory rights you may have to bring proceedings in your country of residence.

12. General Provisions

12.1 Entire Agreement

These Terms, together with our privacy policy and any additional terms referred to herein or presented to you when you use a specific feature or Paid Service, constitute the entire agreement between you and NextMariner regarding your use of the Platform.

12.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if that is not possible, severed, and the remaining provisions shall continue in full force and effect.

12.3 No Waiver

Our failure to enforce any provision of these Terms shall not be construed as a waiver of our right to do so at a later time.

12.4 Assignment

You may not assign or transfer these Terms, or your account, to any third party without our prior written consent. We may assign these Terms, in whole or in part, to an affiliate or in connection with a merger, acquisition or sale of assets, without your consent.
